Effective date: January 1, 2023

CANCELLATION BY CUSTOMER & REFUND POLICY

Customer’s cancellation of and withdrawal from the HealthiHeal Program is permitted by providing written notice to Healthi With Hannah with 24 hours of the initial payment. Customer who provide proper and timely notice of cancelation will be eligible to receive a refund of the Service Fee paid. Customers who fail to provide proper and timely notice shall not be eligible for a refund of the Service Fee paid, either in whole or pro rata.

Client Informed Consent Acknowledging Risks

I have enrolled in the HealthiHeal™ Membership (the “Program”) offered by Healthi With Hannah, LLC.

The material (“Content”) provided and taught by Healthi With Hannah, LLC is educational and informational in nature and is provided only as general information and does not constitute medical or psychological practice, advice, opinion, diagnosis, treatment or guarantee. The Content does not create any doctor-patient, therapist-patient or any other professional relationship and is not a substitute for medical diagnosis, advice, or treatment, or other professional healthcare. For the avoidance of doubt, Healthi With Hannah, LLC cannot and does not provide specific treatment advice to anyone. If you have questions about this, please contact us at [email protected].

I understand and agree that the Program recommends that I voluntarily engage in an acceptable plan of exercise conditioning, and a short detox protocol. My participation in the Program is done voluntarily and entirely at my own risk. I recognize that the Program may involve strenuous physical activity. I acknowledge and agree that my enrollment and subsequent participation in the Program is voluntary and I do so entirely at my own risk. I understand that no exercise program or detox is without inherent risks and that, regardless of the instruction provided within the Program, the administrators of the Program cannot guarantee my personal safety.

I, hereby acknowledge all potential risks associated with my participation in fitness exercise programs being offered by Healthi With Hannah, LLC, owned and operated by Hannah Newman. In consideration of using the services of Healthi With Hannah, LLC, I release and forever discharge Healthi With Hannah, LLC, their employees, including trainers and any other officers, agents, contractors, affiliates, or volunteers (“RELEASEES”) from any and all responsibility or liability from injuries or damages to my person or personal property resulting from or connected with my participation in any of the fitness exercise programs being offered by RELEASEES whether arising from the active or passive negligence of RELEASEES or otherwise.

I fully understand that I will be engaging in exercise and training activities that potentially involve the risk of serious injury, permanent disability or death. Other possible risks may include social and economic losses which might result not only from the RELEASEES’ own actions, inactions or negligence, but the actions, inactions or negligence of others, the condition of the private or public premises or any equipment. Further, that there may be other risks not known or not reasonably foreseeable at this time. I hereby assume full responsibility for all the foregoing risks, known and unknown, and accept responsibility for the damages following any injury, permanent disability, or death.

I further acknowledge and understand that Healthi With Hannah, LLC, its personal trainers, coaches, contractors, affiliates, and other employees are not licensed dietitians or physicians and that any information or guidelines provided by Healthi With Hannah, LLC, its personal trainers, coaches, contractors, affiliates, or other employees carries no warranty of any kind, expressed or implied, including, but not limited to, warranties regarding safety or suitability for a particular purpose.

Healthi With Hannah, LLC, its contractors, and employees will implement the most effective principles to help the participant achieve his or her goals within their scope of practice, but cannot guarantee that its products or workouts will be safe, effective or suitable for everyone. For that reason, all such products, services, programs, techniques and materials embodied in such products and services, are offered without warranties or guarantees of any kind, expressed or implied, and Healthi With Hannah, LLC, and its employees disclaim any liability, loss or damages that may result from their use.

I understand that a physician’s approval is highly recommended prior to participating in any fitness exercise program.

I understand and agree that I will be recommended to complete exercises without the presence of a Program coach. I understand and agree that all risks associated with such exercises are at my own risk and that I should speak with a medical professional before proceeding. You are responsible for your own health care decision-making and should obtain necessary consultations with appropriately licensed health care professionals such as physicians and psychologists.

I understand that a regular exercise program has been shown to have benefits to general health and well-being. I consent to participating in the Program activities which are recommended to optimize said benefits. The Content is not comprehensive and does not include all the potential information regarding the subject matter, but is merely intended to serve as one resource for general and educational purposes.

I understand that I will be educated on the available testing options that might be applicable to my health concerns, how to obtain the tests, and how to generally understand the results. I understand and agree that all risks associated with such testing are at my own risk and that I should speak with a medical professional before proceeding. I always encourage anyone who gets testing to work with their primary care provider. I am not your primary care provider and do not have knowledge of your unique conditions. Always consult your medical professional who works with you.

I understand that it is my responsibility to fully disclose any health issues or medications that are relevant to participation in the Program, inform my physician, and do not need to engage if there are activities with which I do not feel comfortable. I also understand I should cease exercise and report promptly any unusual feelings (e.g. chest discomfort, nausea, difficulty breathing, apparent injury, etc) to the Program coach(es), and to clear my participation in any exercise program with my physician.

I understand the potential physical risks involved in the Program and believe that the potential benefits outweigh the risks. I understand that the achievement of health and fitness goals cannot be guaranteed. My participation in the Program is completely voluntary.

This agreement applies not only to any and all physical injuries but to any and all claims from the damage to, loss of, or theft of property relating to my participations in Healthi With Hannah, LLC’s fitness exercise programs.

I understand and agree that the Program is conducted online and I should direct all questions and clarification items to [email protected].

I am in good physical condition and have no impairments which might prevent my participation in the Program. I have been advised to consult a physician prior to beginning the Program. I am fully acknowledging and accepting responsibility for the risks associated with participating in the Program.

I have been informed that the information I disclose during the course of the Program will be treated as confidential and will consequently not be released or revealed to any person without my express written consent.

I acknowledge and represent that I am 18 years of age or older and have read and understand the contents of this document. I have been made fully aware of and understand the potential risks involved in exercise programs. I hereby consent to those risks and freely and voluntarily agree to participate in an exercise program offered by Healthi With Hannah, LLC. I am freely signing this Agreement.

Your access to the HealthiHeal Program materials and portal will end when the program is completed, while your access to the HealthiHeal VIP Membership will expire at the end of the paid period.

ARBITRATION

The Terms of Use will be governed and construed in accordance with the laws of the State of Florida. Any controversy or claim arising out of or relating to the Terms of Use, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of any such arbitration shall be in or near Pinellas County, Florida. The parties also agree that the AAA Optional Rules for Emergency Measures of Protection shall apply to the proceedings.
